Terms of Service

Welcome to Chataut AI. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Chataut Labs Inc. ("Chataut AI," "we," "us," or "our"), governing your access to and use of our platform, applications, APIs, and related services (collectively, the "Service") available at ecommerce.chatautai.com and chatautai.com.

By creating an account, subscribing to a plan, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

1. Description of Service

Chataut AI is a cloud-based SaaS platform that provides AI-powered tools for e-commerce businesses, digital marketers, and entrepreneurs. Our Service includes, but is not limited to:

AI-powered chatbot for customer service via WhatsApp, integrated with your e-commerce store
AI-powered image and video generation for creating advertising content
Market research and analytics powered by artificial intelligence
E-commerce store integration for automated customer support through WhatsApp

We reserve the right to modify, update, or discontinue any feature of the Service at any time, with or without notice.

2. Eligibility

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use the Service. By agreeing to these Terms, you represent and warrant that you meet these requirements and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration and Security

To access the Service, you must create an account and provide accurate, complete, and current information. You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized use of your account
Keeping your account information accurate and up to date

We reserve the right to suspend or terminate accounts that contain false or misleading information, or that violate these Terms.

4. Free Trial

Chataut AI offers a 3-day free trial for new users. During the trial period, you will have access to the features included in your selected subscription plan at no charge. The free trial is designed for you to evaluate the Service and determine whether it meets your needs before any charges are applied.

At the end of the 3-day free trial, your subscription will automatically convert to a paid subscription, and your payment method on file will be charged the applicable subscription fee. If you do not wish to be charged, you must cancel your subscription before the trial period ends. It is your sole responsibility to cancel before the trial expires if you do not wish to continue with a paid subscription.

5. Subscription Plans and Billing

The Service is offered on a subscription basis. By subscribing, you agree that:

Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on the plan selected)
All fees are quoted and charged in U.S. Dollars (USD) unless otherwise stated
You authorize us to charge your designated payment method for all applicable fees
We use Stripe as our payment processor; your payment information is handled securely by Stripe and is subject to their terms and privacy policy
We reserve the right to change subscription pricing at any time, with at least 30 days' notice before the change takes effect on your next billing cycle

6. Automatic Renewal

Your subscription will automatically renew at the end of each billing cycle (monthly or annually) unless you cancel before the renewal date. The renewal charge will be at the then-current subscription rate. By subscribing, you expressly authorize recurring charges to your payment method on file. It is your responsibility to monitor your billing cycle and cancel before the renewal date if you do not wish to continue.

7. Cancellation Policy

You may cancel your subscription at any time through your account settings or by contacting us at soporte@chatautai.com. Upon cancellation:

Your subscription will remain active until the end of your current paid billing period
You will retain access to the Service until the end of that period
No further charges will be applied after the current billing cycle ends
Your account data may be retained for a reasonable period in accordance with our Privacy Policy

8. No Refund Policy

All payments made to Chataut AI are final and non-refundable, except as expressly provided under the 30-Day Active Use Results Guarantee below.

Given that we provide a 3-day free trial prior to any charge, you have ample opportunity to evaluate the Service before committing to a paid subscription. Once your payment method is charged — whether after the trial period ends or upon renewal — no refunds, credits, or chargebacks will be issued under any circumstances, including but not limited to:

Failure to cancel before the trial period ends
Failure to cancel before an automatic renewal
Partial use or non-use of the Service during a billing period
Dissatisfaction with the Service after the trial period
Downgrade to a lower-tier plan mid-cycle
Account suspension or termination due to violation of these Terms

Processing refunds incurs significant transaction fees from our payment processor, which is why we strongly encourage users to take full advantage of the free trial period to determine if the Service is right for them.

30-Day Active Use Results Guarantee (Conditional Refund)

Notwithstanding the foregoing, if within thirty (30) days from the date of the first paid charge it is demonstrated that, despite actively using the platform, the user obtained no results, Chataut AI will refund the amount paid for that first charge.

To be eligible for this refund, the user must provide evidence of active use, including all of the following:

Use of the platform to generate ads (campaigns/creatives or equivalent outputs)
Use of the platform for product research
Integration of the WhatsApp chatbot
Completion/viewing of the course modules

If the user cannot demonstrate all the above requirements, no refund will be issued. Chataut AI reserves the right to verify usage through internal logs and the documentation provided by the user, and to deny refund requests that do not meet these conditions or are deemed abusive. Refund requests must be submitted within the same thirty (30) day period.

9. AI-Generated Content

The Service utilizes artificial intelligence to generate various types of content and automated responses. By using these features, you acknowledge and agree that:

AI-generated content is produced algorithmically and may not always be accurate, complete, or suitable for your specific needs
You are solely responsible for reviewing and approving all AI-generated content before publishing or using it in any capacity
Chataut AI does not guarantee the originality, accuracy, or legal compliance of any content generated through the Service
You assume full responsibility for any use of AI-generated content, including ensuring it complies with applicable laws, regulations, and third-party rights
We are not liable for any claims, damages, or losses arising from your use of AI-generated content

You agree to use all content generated through the Service only for lawful purposes and in compliance with all applicable local, national, and international laws and regulations.

10. Acceptable Use Policy

You agree not to use the Service to:

Violate any applicable law, regulation, or third-party rights
Generate, distribute, or promote illegal, harmful, defamatory, obscene, or fraudulent content
Send spam, unsolicited messages, or engage in deceptive marketing practices
Impersonate any person or entity, or falsely state or misrepresent your affiliation
Attempt to gain unauthorized access to the Service, other accounts, or related systems
Interfere with or disrupt the integrity or performance of the Service
Use the Service for any purpose that competes directly with Chataut AI
Reverse engineer, decompile, or disassemble any part of the Service
Use automated scripts, bots, or scrapers to access or extract data from the Service beyond its intended functionality
Resell, sublicense, or redistribute access to the Service without our prior written consent

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, without refund.

11. Intellectual Property

Our Property: The Service, including all software, designs, text, graphics, logos, trademarks, and other materials, is the exclusive property of Chataut Labs Inc. and is protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

Your Content: You retain ownership of the original content you upload to the Service (e.g., reference images, brand assets, text inputs). For AI-generated outputs created through the Service, you are granted a non-exclusive, worldwide license to use such outputs for your business purposes, subject to these Terms and applicable law.

12. Third-Party Services and Integrations

The Service integrates with and relies on third-party platforms and services, including but not limited to:

Meta platforms (WhatsApp Business API)
Shopify for e-commerce store integration
OpenAI and other AI providers for artificial intelligence capabilities
Stripe for payment processing

Your use of these third-party services is subject to their respective terms and policies. Chataut AI is not responsible for the availability, performance, or actions of third-party services, and shall not be liable for any losses or damages arising from your use of or reliance on them.

13. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, store, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy.

14. Service Availability

We strive to maintain continuous availability of the Service, but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control. We shall not be liable for any downtime or service interruptions.

15. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the Service will meet your specific requirements, that results obtained will be accurate or reliable, or that the Service will be uninterrupted, secure, or error-free.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Chataut Labs Inc., its directors, officers, employees, affiliates, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to your use of or inability to use the Service, regardless of the cause of action or the theory of liability, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

17. Indemnification

You agree to indemnify, defend, and hold harmless Chataut Labs Inc. and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your use or publication of AI-generated content; or (e) any content you upload, publish, or transmit through the Service.

18. Termination

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if:

You breach any provision of these Terms
You engage in fraudulent, abusive, or illegal activity
Your payment method fails and cannot be resolved within a reasonable time
We are required to do so by law or regulatory authority

Upon termination, your right to use the Service will cease immediately. Sections regarding intellectual property, limitation of liability, indemnification, and the no-refund policy shall survive termination.

19. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States of America, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may pursue resolution through binding arbitration or the courts of competent jurisdiction.

20. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall remain in full force and effect.

21. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or policies published by us on the Service, constitute the entire agreement between you and Chataut Labs Inc. regarding your use of the Service. These Terms supersede any prior agreements or understandings, whether written or oral.

22. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Service, via email, or by posting a notice on our website at least 30 days before they take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
